Bimini Capital Management, Inc. Amends and Extends Stockholder Rights Plan
MWN-AI** Summary
Bimini Capital Management, Inc., a Vero Beach, Florida-based asset management firm, announced amendments to its stockholder rights plan on December 10, 2025. The plan, originally established in December 2025, has been extended for an additional five years to December 21, 2030, with an increased purchase price adjusted from $4.76 to $10.20. This plan is crucial for preserving stockholder value and certain tax assets, notably approximately $253.9 million in net operating loss carryforwards (NOLs), which can mitigate future tax liabilities.
The rights plan is designed to prevent an "ownership change" defined under Section 382 of the Internal Revenue Code, which could limit Bimini’s ability to use its NOLs if stockholders owning 5% or more of the company's stock collectively increase their ownership significantly. The increase in the purchase price aims to enhance potential stockholder dilution that could arise from triggering rights under this plan, thereby decreasing the likelihood of such an ownership change.
The recent amendments are set to be subjected to a stockholder vote at the company's 2026 annual meeting, with approval considered critical; failure to secure this could result in the automatic termination of the rights plan by June 30, 2026. A copy of the amended rights plan will be available to stockholders upon request.
Bimini Capital Management focuses primarily on investing in residential mortgage-related securities and manages Orchid Island Capital, Inc., a real estate investment trust. The firm's strategy is oriented towards optimizing returns based on the yield of its assets relative to its financing costs. As Bimini navigates the complexities of tax regulations and investor ownership dynamics, it remains committed to safeguarding its financial assets and stockholder interests.
MWN-AI** Analysis
Bimini Capital Management, Inc. (OTCQX: BMNM) has taken a crucial step in amending its Stockholder Rights Plan, extending its expiration until December 21, 2030, and raising the purchase price from $4.76 to $10.20. This strategy aims to safeguard the company's substantial net operating loss carryforwards (NOLs) totaling approximately $253.9 million as of September 30, 2025. The amendments serve to deter an “ownership change” as defined by the Internal Revenue Code Section 382, ensuring that Bimini retains the capacity to utilize these tax assets effectively.
Investors should closely monitor the upcoming stockholder vote on the amendment scheduled for the 2026 annual meeting. Failure to secure approval poses a risk, as the Rights Plan would terminate in mid-2026, potentially jeopardizing the preservation of Bimini's NOLs. Given that these tax assets significantly enhance the company's valuation by enabling reduced tax payments, the outcome of this vote will be pivotal.
The increase in the purchase price under the Rights Plan could deter aggressive growth from investors holding over 5% of the company's shares, thereby reducing the likelihood of substantial ownership changes that could disrupt Bimini’s tax efficiencies. This proactive management decision reflects a commitment to enhancing shareholder value and mitigating the risks associated with tax attributes.
From an investment perspective, Bimini's approach suggests that the leadership is prioritizing long-term stability and tax efficiency—an encouraging signal for potential investors. However, market participants should remain cautious, monitoring the company's ability to execute its strategy and generate taxable income to utilize its NOLs effectively.
In conclusion, while Bimini Capital's amendments to its Rights Plan attempt to enhance shareholder value and tax asset preservation, investors should evaluate these developments closely amidst ongoing market conditions and the results of the forthcoming stockholder vote.

VERO BEACH, Fla., Dec. 10, 2025 (GLOBE NEWSWIRE) -- Bimini Capital Management, Inc. (OTCQX:BMNM) (“Bimini Capital”, or the “Company”) today announced its Board of Directors (“Board”) has adopted an amendment (the “First Amendment”) to the Company’s existing Rights Agreement, dated December 21, 2025 (the “Original Rights Plan” and, as amended by the First Amendment, the “Rights Plan”), pursuant to which the expiration date of the Original Rights Plan was extended five years to December 21, 2030, and the purchase price was changed from $4.76 to $10.20. The Rights Plan otherwise remains unmodified and in full force and effect in accordance with its terms.
The Rights Plan was designed to preserve stockholder value and the value of certain tax assets primarily associated with net operating loss carryforwards (“NOLs”) under Section 382 of the Internal Revenue Code of 1986, as amended. As of September 30, 2025, the Company and its subsidiaries had approximately $253.9 million of NOLs that can be used to offset its income and reduce the amount of taxes to be paid by the Company and its subsidiaries.
The Company's ability to use its and its subsidiaries' NOLs would be limited if there was an “ownership change” under Section 382 of the Internal Revenue Code (“Section 382”). This would occur if stockholders owning (or deemed under Section 382 to own) 5% or more of the Company's stock increase their collective ownership of the aggregate amount of outstanding shares of the Company by more than 50 percentage points over a defined period of time. The Rights Plan was adopted to reduce the likelihood of an "ownership change" occurring as defined by Section 382. The Board adopted the First Amendment to continue to preserve stockholder value and the value of the Company’s NOLs. The increase in the purchase price will have the effect of increasing the potential dilution to a stockholder that triggers the rights issued under the Rights Plan, which should reduce the likelihood of an ownership change occurring under Section 382.
The Company plans to submit the First Amendment to a stockholder vote at the Company’s 2026 annual meeting of stockholders, and the failure to obtain this approval will result in automatic termination on June 30, 2026 if stockholder approval of the Rights Plan has not been obtained.
A copy of the First Amendment and a summary of the First Amendment will be contained in a Current Report on Form 8-K filed by the Company with the U.S. Securities and Exchange Commission (the “SEC”) (the “Form 8-K”). The First Amendment should be read together with the Original Rights Agreement and the Form 8-K. A copy of the Rights Plan and the updated Summary of Rights will be made available in print to any stockholder upon written request delivered to Bimini Capital Management, Inc., 3305 Flamingo Drive, Vero Beach, Florida 32963.
