(TSX VENTURE: DG)(“ Dixie Gold ” or the “ Issuer ” or the“ Corporation” ) reports that it was todayelectronically delivered correspondence (the “AsubpeeschoseewagongAnishinabek Correspondence”) from the AsubpeeschoseewagongAnishinabek (“Asubpeeschoseewagong Anishinabek” or “GrassyNarrows”), a First Nation in Ontario (Canada), which sets out avariety of statements made by the Asubpeeschoseewagong Anishinabek andwhich also makes reference to certain third-party litigation (the“Asubpeeschoseewagong Anishinabek Third-Party Litigation”)involving the Asubpeeschoseewagong Anishinabek.
The Issuer refers to prior news release (Dixie GoldInc. Receives Asubpeeschoseewagong Anishinabek CorrespondenceRegarding Mining Activities and Third-Party Litigation, dated October11, 2024).
Dixie Gold holds certain mining claims in the Red Lake,Ontario region commonly referred to as its Red Lake Gold Project (the“Red Lake Project”). The Corporation views its mining claimssituated in Ontario, inclusive of those forming its Red Lake Project,as validly subsisting, with all such mining claims having been dulygranted and issued by the Government of Ontario pursuant to the Mining Act , R.S.O. 1990, c. M.14 (the " Ontario Mining Act ") and its regulations.

Without adoption by the Issuer, the Corporationreproduces text from the Asubpeeschoseewagong AnishinabekCorrespondence:
“ Your miningclaims and other tenures continue the unlawful and harmful Crownconduct that is the subject of the lawsuit.
Secondly, on July 12, 2024, GrassyNarrows served a Notice of Application on Ontario asserting that theMining Act regime violates section 35 of the Constitution Act, 1982 byfailing to consult, accommodate or obtain consent prior to registeringmining claims within the Interim Core Area of Interest forMining.
Grassy Narrows is seeking adeclaration that mining claims registered pursuant to thisunconstitutional regime and further mining tenures derived from thoseleases are invalid, which would include any claims, leases, andpatents registered by your company in the Area. Ontario did notconsult, accommodate nor obtain consent from Grassy Narrows prior toregistering your company’s mining claims, and the leases, patentsand other mining tenures derived from them.
As relief, Grassy Narrows is seekinga declaration that “existing mining claims, including miningactivities such assessment work and exploration activities, andthird-party mining interests granted under the Mining Claim GrantRegime within the Area are not consistent with section 35 of theConstitution Act, 1982 and UNDRIP and are of no force oreffect.
If Grassy Narrows is successful ineither or both of these legal proceedings, your company’s miningclaims and other tenures would potentially be impacted and could beinvalidated.”
At the present time, Dixie Gold is not a party to theAsubpeeschoseewagong Anishinabek Third-Party Litigation, and as such,is not able to reasonably determine nor reasonably assess theforward-moving impact, if any, that such external legal proceedingsmay have on the Issuer and/or its Red Lake Project.
To the best knowledge of the Issuer, the generalcontent of the Asubpeeschoseewagong Anishinabek Correspondence wasdelivered to multiple mining companies operating in the Red Lake,Ontario region.
Outside of this disclosure release, the Issuer does notintend to publicly comment on the Asubpeeschoseewagong AnishinabekThird-Party Litigation nor title assertions generally, unless and/oruntil circumstances require.
