OR Royalties Announces Acquisition of Additional Royalties on Spring Valley in Nevada

MWN-AI** Summary

OR Royalties Inc. (TSX & NYSE: OR) proudly announced its definitive agreement to acquire Terraco Gold Corp., a subsidiary of Sailfish Royalty Corp., for $168 million. This transaction centers on obtaining net smelter return (NSR) royalty assets tied to Solidus Resources LLC’s Spring Valley Gold Project in Nevada, a highly regarded mining area. The acquisition is subject to TSX Venture Exchange approval and is anticipated to close by mid-2026.

The NSR royalties OR Royalties is set to acquire include three pivotal royalty interests covering the Spring Valley project: a 3.0% NSR royalty on the Schmidt Claim Block, a 1.0% NSR royalty on additional areas within the open pit, and a 0.5% NSR royalty on the perimeter area. Additionally, there is a 2.0% NSR royalty on the adjacent Moonlight Property. This acquisition consolidates OR Royalties' interests in Spring Valley, bringing their total NSR coverage to a combined 6.0%, 4.0%, and 1.0% across the respective areas.

Spring Valley is becoming a construction-ready, large-scale heap-leach gold mine, boasting significant mineral reserves and a favorable cost structure. Solidus, which has de-risked the project through thorough studies and now holds all necessary federal permits, expects to initiate gold production by 2028, with OR Royalties projected to benefit from additional gold equivalent ounces starting as early as 2029.

Jason Attew, OR Royalties’ President & CEO, highlighted the strategic importance of this acquisition, emphasizing their commitment to enhancing shareholder value through high-quality, long-life assets in premier mining jurisdictions. This move not only strengthens OR Royalties' operational footprint but also reinforces its focus on precious metals.

MWN-AI** Analysis

OR Royalties' recent acquisition of Terraco Gold Corp. for $168 million signifies a bold strategic move, enhancing its position in the lucrative Nevada gold mining sector. This deal not only consolidates its interests in the Spring Valley Gold Project but also adds complementary NSR royalty assets that fortify its revenue stream from gold—an asset that remains highly sought after amid economic uncertainties and inflationary pressures.

From an investment standpoint, OR Royalties appears well-positioned for growth, bolstered by favorable mining jurisdiction rankings and solid mineral reserve estimates at Spring Valley. With an expected production start in 2028 and a life-of-mine (LOM) production averaging over 300,000 ounces of gold per year, the acquisition promises to significantly enhance OR’s five-year growth profile in the precious metals sector.

Investors should consider the implications of this deal on OR's GEOs projections, which are anticipated to surpass the previously released targets of 120,000 to 135,000 GEOs. Furthermore, with Nevada being a Tier-1 mining location, the associated risks tend to be lower compared to other regions, which adds a layer of security for investors.

Despite the positive outlook, it is imperative for stakeholders to acknowledge potential risks such as fluctuating commodity prices and operational challenges that Solidus may face in the development phase. Evaluating OR Royalties' ability to navigate these risks while capitalizing on the anticipated gold production will be essential for investor confidence.

In conclusion, OR Royalties presents a compelling opportunity for investors seeking exposure in the gold sector, particularly as it moves towards a more dominant position in a prime mining jurisdiction. Monitoring operational advancements and gold market trends will be critical in the near term.

SPRING VALLEY PROJECT

Solidus Resources is on the verge of advancing Spring Valley in Pershing County, Nevada, USA, through construction and eventually into operations. Solidus is a wholly-owned subsidiary of Waterton Gold, a private mining company. Since consolidating 100% ownership of Spring Valley in 2015, Solidus has substantially de-risked the project through extensive technical work programs, including drilling, metallurgical testwork, hydrological studies, and geotechnical analyses and a Feasibility Study completed in 2025. With all major federal permits in place, Spring Valley is now entering the construction phase, marking a key milestone in its path toward first gold production in the first half of 2028; as such, Spring Valley represents Nevada's next large-scale, low-cost, heap-leach gold mine.

Asset Highlights:

  • Large, heap leach gold project with Mineral Reserves of 3.88 million ounces gold (“Au”) (306.9 million short tons grading 0.013 troy oz per short ton) (the Mineral Reserve Estimate was prepared in accordance with the 2014 CIM Definition Standards and is contained within pit designs using Indicated Mineral Resources only and a gold price of $1,800/oz);
  • Run of mine design gold recovery: 79% for oxide; 70% for transition; 56% for sulfide. Crushed design gold recovery: 88% for oxide; 80% for transition; 74% for sulfide;
  • 10-year plus life-of-mine averaging production of over 300 thousand ounces (“koz”) Au per year, with an average of 348koz Au per year over the first five years;
  • Life-of-mine (LOM) all-in sustaining costs (AISC) of ~$1,103/oz Au; and,
  • Fully-Permitted: US BLM positive Record of Decision announced July 15, 2025.

Jason Attew, President & CEO of OR Royalties commented: “Consolidating our royalty interest in Spring Valley, a fully permitted, multi-million-ounce gold project in Nevada, is a high-conviction move for OR Royalties. This acquisition enhances our peer-leading growth profile by adding significant, long-life gold production starting in 2028 (with GEOs to OR Royalties starting as early as 2029), further validating our strategy of acquiring top-tier assets in the world’s best mining jurisdictions.”
