Uniserve Provides Update on Filing of Business Acquisition Report Related to Megawire Transaction

Vancouver, BC: March 6, 2026  -TheNewswire – UniserveCommunications Corporation (the “Company” or “Uniserve”)(TSXV: USS), a Canadianprovider of managed IT, ISP, cloud, and data centreservices, is providing an update regarding thepreparation of its business acquisition report (the “BAR”) andassociated financial statements (collectively, the “RequiredFilings”) relating to the Company’s previously announcedacquisition (the “Acquisition”) of all of the business, assets andundertaking of Megawire Inc. (“Megawire”).

The BAR is required to be filedwithin a 75-day period (the “Filing Deadline”) prescribed underNational Instrument 51-102 – Continuous Disclosure Obligations (“NI51-102”). For further information respecting Uniserve’sacquisition of Megawire’s business, please see Uniserve’s newsrelease dated December 23, 2025.

Uniserve will not make the required filings by theFiling Deadline because it requires additional time to prepare thefinancial statements to be included in the BAR and to arrange for thecompletion of the audit of the annual financial statements to beincluded in the BAR. Megawire, as well as the other companies involvedin the Megawire transaction, Brimax Financial Services Inc.(“Brimax”) and Waterloo Wireless Inc. (“Waterloo WirelessInc.”), are private companies and therefore have not previouslyprepared or filed audited financial statements. Uniserve intends towork diligently with its selected auditor to prepare the requiredfinancial statements and to complete the audit of the annual financialstatements to be included in the BAR. The Company has imposed amanagement trading blackout pending filing of the RequiredFilings.

Uniserve expects to make the Required Filings by nolater than June 30, 2026. Other than the Required Filings, the Companyconfirms that it is current in its other continuous disclosurefilings. The Company will provide updates as required in accordancewith applicable securities laws.
