VisionWave Acquires Majority Stake in Israeli Defense Composite Manufacturer

VisionWave Holdings Inc. (NASDAQ: VWAV) has entered into definitive agreements to acquire a 51% controlling stake in C.M. Composite Materials Ltd., an Israeli aerospace-grade composite manufacturer that supplies structural components for major missile defense systems. Strategic Investment in Defense Manufacturing

C.M. Composite Materials, headquartered in Modi'in, Israel, manufactures structural composite assemblies used in defense systems including Iron Dome and the Barak 8 long-range air defense system, which was jointly developed by Israel Aerospace Industries and India's Defence Research and Development Organisation.

An independent valuation conducted by BDO Consulting Group placed the company's value at approximately $50 million. The manufacturer reported about $17.3 million in revenue and roughly $3.0 million in pre-tax income for fiscal year 2025, highlighting its established role in the defense industrial base.

Transaction Structure

Under the agreement, VisionWave will acquire the majority stake by issuing 250,000 shares of its common stock, valued by the parties at approximately $2.5 million. The company also secured an option to acquire the remaining 49% stake in the future.

In addition to the equity transaction, VisionWave has arranged a secured loan facility of up to $5 million for C.M. Composite Materials to support working capital and potential international expansion initiatives. The loan carries a 12% interest rate and a three-year maturity, with collateral secured against the company's assets.

Role in Missile Defense Systems

Composite materials are critical components in modern missile defense platforms due to their high strength-to-weight ratio and resistance to extreme operational conditions. C.M.'s components are integrated into systems used by Israel and allied defense programs, placing the company within an important segment of the global defense manufacturing ecosystem.

The company has also been designated an "Essential Facility" under Israel's Emergency Labor Services Law, allowing it to maintain operations even during national emergencies or wartime conditions--an indication of its strategic importance to the country's defense infrastructure.

VisionWave's Broader Strategy

VisionWave has been positioning itself as a technology company focused on advanced sensing, AI-driven systems, and computational acceleration platforms for defense and security applications. The acquisition aligns with its efforts to integrate software and hardware capabilities within the defense technology ecosystem.

The company believes combining its QuantumSpeed computational acceleration technology with aerospace composite manufacturing could help create a scalable defense industrial platform supporting both government and commercial applications.
