NLSN - Nielsen ticks higher amid NYSE delisting notice for sale to Elliott Brookfield (update)

Update 12:25pm : Adds details on financing for takeover from a Dealreporter item.

Nielsen Holdings ( NYSE: NLSN ) ticked up 0.5% amid a NYSE delisting notice that indicated NLSN shares would be suspended Oct. 12 due its planned sale to Elliott Management and Brookfield Business Partners.

Nielsen ( NLSN ) last month received shareholder approval of a deal to be acquired by a private-equity consortium in a transaction valued at $16B including debt.

The company cleared the way to rescheduled meetings to vote on the deal following an agreement with shareholder WindAcre whereby WindAcre would join the purchasing consortium .

Separately, Nielsen's proposed financing to back the the PE firms purchasing the company is said to face significant delays due to the market meltdown, according to a Dealreporter item, which cited four sources familiar.

Investors are now expecting a reconfigured financing including a term loan A debt instrument and smaller term loan B than previously expected, according to Dealreporter. It's possible that syndicated debt deal may not happen and banks may be on the hook for the debt.

The Dealreporter items comes after banks on Thursday shelved a $3.9 billion debt offering for Apollo Global's ( APO ) deal to purchase Brightspeed.
