SPSC - SPS Commerce buys Genius Central for ~$17M in cash

Genius Central is a software solution provider known for its expertise in the natural and organic foods industry. Under the terms of the agreement and plan of merger, SPS Commerce (NASDAQ:SPSC) acquired Genius Central for approximately $17 million in cash. For Q4'21, SPS Commerce anticipates the acquisition will add ~$0.45M of revenue and have a negligible negative impact on the fourth quarter and full-year Adjusted EBITDA. For FY 2022, the company expects the acquisition to add ~$3M in revenue and accretive to Adjusted EBITDA in the first 12 months following the acquisition. It will contribute about $1.0M to Adjusted EBITDA in the fiscal year 2023 and beyond.
