Concentrix ( NASDAQ: CNXC ) said Wednesday it would merge with Webhelp, a provider of customer care and related services, in a $4.8 billion deal with debt, boosting its presence in Europe and Latin America, and establishing a footprint in Africa.

Under terms, Webhelp shareholders will receive 14.9 million shares of Concentrix, €500 million of cash proceeds, and a €700 million note with 2% interest rate, payable in two years.

The deal value also reflects a Concentrix share price of $120.00 per share.

At close, Concentrix is expected to have about $5.1 billion of total debt outstanding.
