Bathurst Minerals Closes Final Tranche of Non-Brokered Private Placement

Vancouver, British Columbia – TheNewswire - August 15, 2025 – Bathurst Metal Corp.(TSXV: BMV) (“Bathurst” or the“Company”) is pleased to announce it hasclosed the second and final tranche of its previously announcedprivate placement.  The Company issued 2,026,667 Units at a price of $0.075 per Unit for gross proceeds of$152,000.

Together with the first tranche which closed on July22, 2025, the Company issued an aggregate of 4,543,334Units at a price of $0.075 per Unit for grossproceeds of $340,750.

Each unit consists of one (1) common share and one (1)common share purchase warrant of the Company. Each whole sharepurchase warrant entitles the holder, on exercise, to purchase anadditional common share of the Company at a price of $0.15 per sharefor a period of two years from closing. Finders’ fees of 7% cash were paid on a portion of thistranche.

An insider of the Company was issued an aggregate of500,000 Units through the insider’s wholly-owned corporation. Theinsider’s subscription constituted a “related party transaction”within the meaning of Multilateral Instrument 61-101 Protection ofMinority Shareholders in Special Transactions (“ MI 61-101 ”). Theissuance of the Units to the related party was exempt from thevaluation requirement of MI 61-101 under the exemption in section5.5(b) of MI 61-101 in that the Company’s shares are not listed on aspecified market, and from the minority shareholder approvalrequirements of MI 61-101 under the exemption in section 5.7(a) of MI61-101 in that the fair market value of the consideration for thesecurities issued to the related party did not exceed 25% of theCompany market capitalization.

The securities issued are subject to a four-month holdperiod.

Proceeds of the private placement will be used for working capital.
