The Board, with the assistance of legal and financial advisors, carefully reviewed the terms of the Reorganization and its impact on the consideration to be received by the Company’s shareholders under the Arrangement, and Bloom Burton considered the terms of the Reorganization in providing the Fairness Opinion.
