Epsilon Announces Third Quarter 2025 Results
MWN-AI** Summary
Epsilon Energy Ltd. (NASDAQ: EPSN) released its third-quarter financial results for 2025, revealing a mixed performance. For Q3 2025, the company reported a total natural gas and oil production of 2,456 MMcfe, reflecting a 20% decline quarter-over-quarter (QoQ) but a significant 42% increase year-over-year (YoY). Gas production decreased by 22% from Q2 2025 to 2,136 MMcf, though it showed a robust 64% increase compared to Q3 2024. In contrast, oil and natural gas liquids (NGLs) saw declines in production and revenue compared to previous quarters, with oil production down 11% QoQ and 26% YoY.
Overall revenues for the quarter were $8.98 million, a 23% decrease from the previous quarter but a 23% increase YoY. Notably, cash on hand rose by 28% to $13.24 million, bolstered by dividends totaling $1.38 million. Adjusted EBITDA dropped to $4.37 million, a decline of 41% from Q2 2025, but up 17% YoY.
Operational activities during the quarter included $2.9 million in capital expenditures, primarily for the completion of a well in the Barnett Shale, which is performing well against expectations. Additionally, Epsilon announced plans for a strategic acquisition in the Powder River Basin aimed at boosting the company's operational scale and inventory.
CEO Jason Stabell expressed optimism regarding rising natural gas prices and the effective groundwork laid for future cash flows, underlining the successful integration of the acquired operational team. Epsilon's conference call for detailed discussion is scheduled for November 6, 2025. This quarter's performance indicates both challenges and opportunities as the company navigates a dynamic energy market.
MWN-AI** Analysis
Epsilon Energy Ltd. (NASDAQ: EPSN) recently reported its third-quarter 2025 results, showcasing significant shifts in both production and revenue metrics, thus presenting various implications for investors.
Total production of natural gas, oil, and NGL for Q3 2025 was 2,456 MMcfe, down 20% from the prior quarter but up 42% year-over-year, driven primarily by a substantial rise in gas production. The revenue report highlighted a 23% decline from Q2 2025, influenced by lower realized prices in the market: gas prices fell 11% quarter-on-quarter, while oil prices saw a modest increase. However, the year-on-year revenue growth of 23% reflects strong comparative performance in a potentially more favorable pricing environment.
One noteworthy factor for investors is Epsilon’s strategy of maintaining steady capital expenditures, which rose slightly to $2.9 million reflecting ongoing development in Texas’s Barnett shale, alongside the significant acquisition of operated assets in the Powder River Basin. This acquisition could expand their operational capacity and market reach, making Epsilon potentially more competitive in a volatile energy market.
The company continues to exhibit strength in cash reserves, with cash plus short-term investments increasing by 28% quarter-over-quarter to $13.2 million, reinforcing liquidity amid fluctuating revenues. Yet, with adjusted EBITDA experiencing a steep decline of 41% from the previous quarter, monitoring profitability and operating efficiency post-acquisition will be critical.
Looking ahead, the expected rise in natural gas pricinging as Epsilon exits the shoulder season, coupled with ongoing operational efficiencies, positions Epsilon to leverage market recoveries. Investors might consider maintaining a position, focusing on the long-term strategy to drive value through strategic acquisitions and operational performance improvements while being wary of short-term production volatility and price fluctuations.

Operations Update:
Epsilon’s capital expenditures were $2.9 million for the quarter ended September 30, 2025. These were primarily related to the completion of 1 gross (0.25 net) well in Texas. The well in Texas is the eighth Barnett well developed in the project and is performing in-line with pre-drill expectations with a 30-day gross IP rate of over 870 Boe/d (82% oil). Offset wells were shut-in for approximately 20 days during the quarter during the completion, with a net impact of approximately 3,000 net barrels.
In the Marcellus, operator elected shut-ins occurred in the second half of the quarter in response to lower gas prices during the shoulder season, with a net impact of approximately 110 MMcf.
Jason Stabell, Epsilon’s Chief Executive Officer, commented, “Over the last several weeks, net wellhead pricing in the Marcellus has moved up strongly as we exit the shoulder season, providing a strong setup for enhanced cash flows in the coming quarters. In the Permian, we continue to deliver good results. The eighth well in the project was brought online in September and performance is consistent with other wells developed in the project area. The next well in Texas is planned for development in the first quarter next year.
The big news during the quarter was our announcement of the acquisition of the operated business in the Powder River Basin. This transaction represents a major milestone in our strategic objectives to add scale, capital control and highly economic inventory at an attractive valuation. The transaction complements our non-operated portfolio and delivers on all these objectives. Integration planning and due diligence have progressed on schedule. We are excited to welcome a capable operating team from Peak and a premier long term focused energy investor in Yorktown as an anchor shareholder. The transaction is expected to close in November.”

Epsilon defines Adjusted EBITDA as earnings before (1) net interest expense, (2) taxes, (3) depreciation, depletion, amortization and accretion expense, (4) impairments of natural gas and oil properties, (5) non-cash stock compensation expense, (6) gain or loss on derivative contracts net of cash received or paid on settlement, and (7) other income. Adjusted EBITDA is not a measure of financial performance as determined under U.S. GAAP and should not be considered in isolation from or as a substitute for net income or cash flow measures prepared in accordance with U.S. GAAP or as a measure of profitability or liquidity.
Additionally, Adjusted EBITDA may not be comparable to other similarly titled measures of other companies. Epsilon has included Adjusted EBITDA as a supplemental disclosure because its management believes that EBITDA provides useful information regarding its ability to service debt and to fund capital expenditures. It further provides investors with a helpful measure for comparing operating performance on a "normalized" or recurring basis with the performance of other companies, without giving effect to certain non-cash expenses and other items. This provides management, investors and analysts with comparative information for evaluating the Company in relation to other natural gas and oil companies providing corresponding non-U.S. GAAP financial measures or that have different financing and capital structures or tax rates. These non-U.S. GAAP financial measures should be considered in addition to, but not as a substitute for, measures for financial performance prepared in accordance with U.S. GAAP.
