Blue Owl Capital Corporation II Confirms Receipt of Unsolicited Minority Tender Offer from Cox and Saba at Discount to NAV

MWN-AI** Summary

Blue Owl Capital Corporation II (“OBDC II”) has received an unsolicited minority tender offer from Cox Capital Partners and Saba Capital Management, seeking to acquire up to 8 million shares—representing less than 7% of OBDC II's outstanding shares. This offer is notable as it comes at a discount of over 30% to the company’s net asset value (NAV). The Board of Directors of OBDC II is currently reviewing the proposal to determine the best course of action for its shareholders.

The Board's evaluation will consider several factors, including ongoing efforts to return capital to shareholders, with a significant distribution of at least 50% of the company's net assets expected in 2026. This is to include a return of capital distribution at NAV by March 31, 2026. OBDC II is also set to prioritize additional quarterly distributions of 5% or more, alongside its regular monthly dividends.

The Board has cautioned shareholders that partaking in Cox and Saba's offer would result in receiving considerably less than their investments' current NAV and would forfeit the chance to benefit from future distributions.

Since its inception, OBDC II has yielded an annualized return of 9.1%, consistently outperforming leveraged loan indices. As the Board assesses the tender offer, Blue Owl is committed to maximizing shareholder value and executing a disciplined investment strategy.

Shareholders are advised that no immediate action is required on their part, and the Board will inform them of its recommendation regarding the tender offer in due course. Moreover, OBDC II maintains a strong liquidity position, with approximately $447 million in cash and undrawn debt capacity, underpinning its solid financial foundation.

MWN-AI** Analysis

Blue Owl Capital Corporation II (OBDC II) has recently confirmed receipt of an unsolicited minority tender offer from Cox Capital Partners and Saba Capital Management, which values the shares at a significant discount of over 30% to the net asset value (NAV) of the company. This scenario presents a strategic consideration for investors and stakeholders in OBDC II.

Firstly, OBDC II's board is actively evaluating the offer while maintaining a strong commitment to maximizing shareholder value. With an anticipated distribution of 30% of NAV expected on or before March 31, 2026, shareholders who opt to participate in the tender offer may miss out on these favorable returns. The company's historical annualized returns of 9.1%, which have consistently outrun leveraged loan indices, also suggest that the intrinsic value of OBDC II shares could be undervalued based on the tender offer.

Given that the tender offer represents less than 7% of outstanding shares, it's unlikely to create immediate liquidity pressure. Nonetheless, a discount to NAV could indicate a lack of confidence in the ongoing operational strategy post-distribution, which may provide additional context for the board's decision-making.

For shareholders, it is prudent to remain patient. As the board evaluates the offer, they will ensure that any actions taken align with long-term value creation. Given the company’s strong liquidity position, well-diversified portfolio, and a conservative leverage profile, stakeholders should closely monitor the board’s future communications regarding their recommendations on the unsolicited offer.

In conclusion, investors may want to hold their shares and take advantage of the upcoming capital distributions rather than accepting an offer that undervalues their holdings. This approach aligns well with OBDC II's demonstrated commitment to shareholder returns and its adept management of portfolio investments.
