Purple Biotech Announces Plan to Implement ADS Ratio Change
MWN-AI** Summary
Purple Biotech Ltd. announced on February 25, 2026, its intention to change the ratio of American Depositary Shares (ADSs) to its ordinary shares, effective March 2, 2026. The current ratio of one ADS representing two hundred ordinary shares will be adjusted to one ADS representing two thousand ordinary shares. This change aims to ensure that the company complies with the Nasdaq Capital Market's minimum bid price requirement of $1.00.
The ratio change is akin to a one-for-ten reverse ADS split. As such, holders of certificated ADSs will need to surrender their ADS certificates for cancellation, receiving one new ADS for every ten existing ones. Conversely, holders of uncertificated ADSs will see their shares automatically exchanged without further action needed. The new ADSs will trade under the existing Nasdaq symbol “PPBT,” but will have a different CUSIP number due to the ratio change.
Management expects the adjustment to lead to a proportional increase in the market price of the ADSs, potentially enhancing their appeal for trading on Nasdaq. However, the company noted that there is no guarantee that the price will meet or exceed the increase post-change.
Purple Biotech is a clinical-stage oncology firm focused on developing immunotherapy technologies to tackle cancer. Key programs include CAPTN-3, which utilizes capped tri-specific antibodies in treatment, and other pipeline assets like CM24 and NT219, aimed at combating tumor immune evasion and drug resistance.
For further information, stakeholders are encouraged to explore updates on the company’s website and follow SEC filings for any material developments.
MWN-AI** Analysis
On February 25, 2026, Purple Biotech Ltd. (NASDAQ/TASE: PPBT) announced a significant restructuring of its American Depositary Shares (ADS) ratio, shifting from one ADS representing 200 ordinary shares to one ADS representing 2,000 ordinary shares. This change, effective March 2, 2026, serves primarily to maintain compliance with Nasdaq’s minimum bid price requirement of $1.00. Importantly, it effectively acts as a reverse split, expected to enhance the trading price of the ADSs, although the company has cautioned there’s no guarantee that the price will reach ten times its current level.
For investors, this ADS Ratio Change presents both risks and opportunities. The immediate effect will likely be an increase in the ADS trading price, potentially making the shares more attractive to institutional and retail investors who typically avoid low-price stocks due to liquidity and regulatory concerns. However, the absence of guarantees regarding the stock’s new price highlights significant uncertainty – an essential factor for current and prospective investors.
Moreover, the underlying fundamentals of Purple Biotech remain critical. As a clinical-stage oncology company focused on innovative immunotherapy solutions, the success of its drug pipeline will ultimately dictate the long-term value of PPBT shares. Investors should closely monitor clinical trial progress for lead candidates like IM1240 and CM24 alongside market competition and regulatory developments, which are inherently uncertain.
In conclusion, while the ADS Ratio Change could facilitate better liquidity and investor interest, caution is advised. Stakeholders should perform a thorough analysis of the company’s pipeline prospects and overall market conditions before making investment decisions in Purple Biotech. Keeping abreast of clinical trial results and market reactions post-ADS adjustment will be critical in assessing the viability of this equity investment.

ADS Will Begin Trading Reflecting the Ratio Change on March 2, 2026
REHOVOT, Israel, Feb. 25, 2026 (GLOBE NEWSWIRE) -- Purple Biotech Ltd. ("Purple Biotech" or the "Company") (NASDAQ/TASE: PPBT), a clinical-stage company developing a next-generation immunotherapy platform designed to maximize anti-cancer potency while minimizing toxicity, today announced that it intends to change the ratio of American Depositary Shares (“ADSs”) to its ordinary shares, no par value per share (the “ADS Ratio”), from the current ADS Ratio of one (1) ADS representing two hundred (200) ordinary shares, to a new ADS Ratio of one (1) ADS representing two thousand (2,000) ordinary shares (the “ADS Ratio Change”). The ADS Ratio Change is expected to become effective at the beginning of trading on or about March 2, 2026, U.S. Eastern Time (the “Effective Date”). The primary purpose of the ADS Ratio Change is to enable the Company to regain compliance with the $1.00 minimum bid price requirement for continued listing on the Nasdaq Capital Market (“Nasdaq”).
For the Company’s ADS holders, the ADS Ratio Change will have the same effect as a one-for-ten reverse ADS split. On the Effective Date, registered holders of the Company’s ADSs held in certificated form will be required on a mandatory basis to surrender their certificated ADSs to The Bank of New York Mellon, the depositary bank (the “Depositary”), for cancellation and will receive one (1) new ADS in exchange for every ten (10) existing ADSs then-held. Holders of uncertificated ADSs in the Direct Registration System and The Depository Trust Company will have their ADSs automatically exchanged and need not take any action. The exchange of every ten (10) then-held (existing) ADSs for one (1) new ADS will occur automatically on the Effective Date, with the then-held ADSs being cancelled and new ADSs being issued by the Depositary. The Company’s ADSs will continue to trade on Nasdaq under the symbol “PPBT,” although a new CUSIP number 74638P307 has been assigned as a result of the ADS Ratio Change. The ADS Ratio Change will have no impact on the Company’s ordinary shares, which are traded on The Tel Aviv Stock Exchange, no ordinary shares will be issued or cancelled in connection with the ADS Ratio Change and holders of the Company’s ordinary shares will be entirely unaffected by the new exchange ratio for ADSs.
No fractional new ADSs will be issued in connection with the ADS Ratio Change. Instead, fractional entitlements to new ADSs will be aggregated and sold by the Depositary and the net cash proceeds from the sale of the fractional ADS entitlements (after deduction of fees, taxes and expenses) will be distributed to the applicable ADS holders by the Depositary.
As a result of the ADS Ratio Change, the Company’s ADS trading price is expected to increase proportionally, enhancing the suitability of the ADSs for trading on Nasdaq, although the Company can give no assurance that the ADS trading price after the ADS Ratio Change will be equal to or greater than ten times the ADS trading price before the change.
