Notice of Annual and Special Meeting and Adoption of Advance Notice Bylaw

AIRDRIE, ALBERTA – TheNewswire - December 11,2025 - Vitreous Glass Inc. (TSXV:VCI) (the " Corporation" ) announced on December 4, 2025 that it will hold its annualgeneral and special meeting (the " Meeting ") ofshareholders at 1:00 p.m. (Calgary time) on Thursday, February 5, 2026at the offices of Cassels Brock & Blackwell LLP, Suite 3700,Bankers Hall West, 888 3rd Street SW, Calgary, Alberta T2P 5C5.

The Corporation has fixed Monday, December 29, 2025 asthe record date for determining shareholders entitled to vote at theMeeting.

The Meeting will be held for the followingpurposes:

1. to receive and consider the audited financialstatements of the Corporation for the fiscal year ended September 30,2025, and the report of the auditor thereon;

2. to fix the number of directors to be elected at theMeeting at five (5);

3. to elect the board of directors of the Corporation (the" Board ") for the ensuing year;

4. to appoint MNP LLP, Chartered Accountants, of Calgary,Alberta, as the auditor of the Corporation for the ensuing financialyear and to authorize the board of directors to fix the auditor'sremuneration;

5. to consider and, if thought appropriate, to pass anordinary resolution confirming the repeal of By-Law Number 1 of theCorporation and the adoption of By-Law Number 2 of theCorporation;

6. to consider, and if thought appropriate, to approve andadopt, with or without variation, an ordinary resolution relating tothe 10% "rolling" stock option plan of the Corporation, asamended and restated; and

7. to transact such other business as may be properlybrought before the Meeting or any adjournment thereof.

Adoption of By-Law Number 2

The Corporation also announces its existing by-lawshave been repealed and the Board has approved and adopted a new set ofby-laws, designated as By-Law Number 2 (" By-Law Number 2 ").

By-Law Number 2 has been adopted to update andmodernize the Corporation's governance framework. Among othermatters, By-Law Number 2 incorporates applicable amended provisions ofthe Business Corporations Act (Alberta) and aligns theCorporation's by-laws with current best practices. By-Law Number2 also introduces advance notice provisions (the " Advance Notice Provisions ") relating to the nomination of directors to theBoard.

The Advance Notice Provisions, among otherthings:

1. a) establish a deadline by whichholders of record of common shares of the Corporation must submitdirector nominations prior to any annual or certain special meetingsof shareholders;

2. b) set forth the informationrequired to be provided by a nominee director that a shareholder mustinclude in the notice for such notice to be in proper written form;and

3. c) are intended to (i) facilitatean orderly and efficient annual general or special meeting process;(ii) ensure that shareholders receive adequate notice of directornominations and sufficient information regarding all directornominees; and (iii) allow shareholders to cast an informed vote afterhaving been afforded reasonable time for consideration.

By-Law Number 2 is in full force and effect as of thedate of approval by the Board. In accordance with its terms, By-Law Number 2 will be submitted to shareholders forconfirmation at the Meeting.
