AMRS - Amyris announces $50M common stock offering and private placement

Synthetic biotechnology company Amyris, Inc. ( NASDAQ: AMRS ) announced Thursday a registered direct offering of common stock and a private placement to raise ~$50M in gross proceeds.

The registered direct offering allows the purchase and sale of 20M shares of the company's common stock and warrants to purchase up to 15M total shares of common stock.

Each share of common stock will be available with a warrant at a combined purchase price of $1.50, Amyris ( AMRS ) said, adding that warrants will be immediately exercisable at $1.80 per share of common stock over five years.

Meanwhile, the agreement for private placement with Foris Ventures, LLC allows the purchase and sale of 13.3M shares of common stock and warrants to purchase up to 10M shares of common stock in total. Foris Ventures is a company linked to Amyris ( AMRS ) board member John Doerr.

The direct offering and private placement are expected to close on or about Dec. 30. The company expects the transactions to generate about $50M in gross proceeds, which it has earmarked for general corporate purposes after deducting the placement agent's fees and other expenses.

Seeking Alpha contributor Henrik Alex wrote yesterday that Amyris ( AMRS ) is "likely to run out of funds within weeks."
