BTCS ([[BTCS]] -16.0%) entered into a definitive agreement with institutional investors for the purchase and sale of 9.5M shares and warrants to purchase up to 7.1M shares in a registered direct offering.Each ordinary share and accompanying warrant are being sold together at combined purchase price of $1.0/share.Warrants have an exercise price of $1.15/share, are exercisable on the issuance date and will expire on the five-year anniversary of the issuance date.Gross proceeds are estimated at ~$9.5M.Offering expected to close on or about Mar.4.
