CA - FSX enters agreement for acquisition of WDR

• Fosterville South Exploration ( OTCQX:FSXLF ) enters into an agreement with 15103452 Canada, a wholly-owned subsidiary of FSX and Wild Dog Resources, whereby FSX will acquire all of the issued and outstanding common shares of WDR by means of a "three-cornered amalgamation".
• FSX Sub and WDR will amalgamate and continue as one company, as a wholly-owned subsidiary of FSX.
• The shareholders of WDR will receive an aggregate of ~16.16M shares of FSX, and each WDR Shareholder will receive one common share for every 7.028 WDR shares held.
• The exchange ratio assumes 113,583,200 WDR shares are outstanding immediately prior to closing.
